PrtyPix Terms of Service

Effective date: June 11, 2026

These Terms of Service (the "Terms") govern your access to and use of the PrtyPix platform, including the website at prtypix.com, related mobile experiences, and any features, content, or services made available by [COMPANY LEGAL NAME] ("PrtyPix," "we," "us," or "our"). By creating an account, clicking "I agree," or using the platform in any way, you accept these Terms.

If you do not agree, do not use the platform.

2. Eligibility and Accounts

2.1 Age. You must be at least 18 years old to create an account. If you are between 13 and 17, a parent or legal guardian must create the account on your behalf and accept these Terms. PrtyPix does not knowingly collect personal information from children under 13. If you believe a child under 13 has created an account, contact us at admin@prtypix.com and we will close it.

2.2 Registration. You agree to provide accurate, current, and complete information when you register and to keep it updated. You may register using email and password, a magic link, or third-party providers (Google, Apple, Facebook).

2.3 Account security. You are responsible for your credentials and for all activity that occurs under your account. Use a strong password. Do not share it. If you suspect unauthorized access, change your password and contact us immediately at admin@prtypix.com.

2.4 One account per person. Multiple accounts by the same person to evade enforcement, abuse referral credits, or circumvent limits are not allowed and may be terminated.


3. Privacy

Your privacy matters. Our collection, use, and disclosure of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using PrtyPix, you acknowledge the Privacy Policy. If you do not agree with the Privacy Policy, do not use the platform.


4. The Platform and User Types

PrtyPix operates a photo-sharing platform for events. There are four types of users:


5. User Content (Uploads)

This is the most important section. Read it.

5.1 You keep ownership. You retain all right, title, and interest in the photos, videos, captions, comments, and other content you upload to PrtyPix ("User Content"). PrtyPix claims no ownership over your User Content.

5.2 License to PrtyPix. By uploading User Content, you grant PrtyPix a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify (for formatting, watermarking, and derivative display), publish, display, and distribute your User Content solely for the purpose of operating, developing, and improving the platform and the services you request. This license ends when you delete the User Content or close your account, except that PrtyPix may retain cached or archived copies as required by law or for legitimate business purposes (including fraud prevention, dispute resolution, and enforcement of these Terms).

5.3 What you represent and warrant. Every time you upload User Content, you represent and warrant that:

When you upload User Content to an event that the event creator has designated as "public," you understand that the User Content will be visible to anyone with the link or browsing the public gallery, may be indexed by search engines, and may be shared by viewers. The license in Section 5.2 extends to that public display. You represent and warrant that you have all consents required for public display.

5.5 Model and likeness releases. Pro Photographers who mark photos or albums for sale represent and warrant that they have obtained a valid model release from every identifiable person in the content (or from a parent or legal guardian for minors) authorizing commercial use of the likeness. PrtyPix may request evidence of model releases at any time.

5.6 Photos of minors in non-CSAM contexts. You may upload photos of minors to non-public events at the request of a parent or legal guardian. By uploading such photos, you represent that you have that consent. PrtyPix does not systematically detect or verify minor status in photos; the responsibility rests with the uploader and the event creator.

5.7 Removal of User Content. You may delete your User Content at any time through the platform, subject to technical and legal retention requirements. PrtyPix may remove or restrict User Content that violates these Terms or that we are required to remove by law.

5.8 Feedback. If you send us suggestions, ideas, or feedback, you grant PrtyPix a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.


6. Pro Photographer Terms

6.1 Pro subscription. Pro Photographers pay a recurring subscription fee of $7.99 per month (or such other price as posted at checkout). The subscription renews automatically each month until cancelled.

6.2 Auto-renewal disclosure (Florida and federal compliance). You expressly authorize PrtyPix to charge your payment method on file each renewal period at the then-current subscription rate. We will send you a renewal notice at least 30 days before each renewal. The notice will include the renewal date, the renewal price, and instructions for cancellation. You may cancel at any time before the renewal date and you will not be charged for the next period. Cancellation takes effect at the end of your current paid period; we do not prorate.

6.3 How to cancel. Cancel from your account settings or by emailing admin@prtypix.com. We will confirm cancellation in writing within 3 business days. If you do not receive confirmation, the cancellation is not effective.

6.4 Pricing your content. Pros set their own per-photo and per-album prices within platform limits. Prices are subject to platform fees (see Section 7) and to applicable taxes. You are responsible for setting prices that comply with applicable law.

6.5 Earnings and payouts. Pros earn 85% of the "profit" on each sale, where profit is calculated as: sale price minus the 3% credit-card processing fee minus the vendor cost (for prints) and minus any refunds. PrtyPix retains 15% of profit as a platform fee. Earnings are paid out via Stripe Connect to your connected account. You are responsible for keeping your Stripe account information current and for complying with Stripe's terms.

6.6 Taxes. You are responsible for all taxes on your earnings. PrtyPix will issue tax forms (such as IRS Form 1099-K or 1099-NEC) as required by U.S. law. PrtyPix does not provide tax advice; consult a tax professional.

6.7 Pro content license. In addition to the User Content license in Section 5.2, you grant PrtyPix a license to display your portfolio content on your Pro public page and in PrtyPix marketing materials featuring the Pro program, with reasonable attribution. You may opt out of marketing use by emailing admin@prtypix.com.

6.8 Downgrade. If you cancel Pro, your account reverts to Free. Priced content remains visible to past buyers. Future uploads cannot be priced.


7. Payments, Pricing, and Refunds

7.1 The split. On every sale of priced content:

7.2 Free-user sales. Photos uploaded by Free Users may be priced only by the Pro who owns the event (if any). If a Pro owns the event, the Pro receives the 85% share. If no Pro owns the event, PrtyPix retains 100% of revenue.

7.3 Buyer purchases. Buyers pay the posted price plus applicable taxes. Sales are processed through Stripe. By purchasing, you authorize the charge to your payment method.

7.4 Refunds — digital content. All sales of digital content (photo downloads, album downloads) are final. Because digital goods cannot be returned once delivered, we do not offer refunds except in cases of (a) duplicate purchase, (b) accidental purchase within 24 hours not yet downloaded, or (c) content that is materially different from the listing. Refund requests must be sent to admin@prtypix.com.

7.5 Refunds — physical prints. Print orders are fulfilled by Prodigi, a third-party print vendor. Print quality, shipping, and damage claims are governed by Prodigi's policies. If a print arrives damaged or materially defective, contact admin@prtypix.com within 14 days of delivery and we will work with Prodigi on a replacement or refund at our discretion.

7.6 Chargebacks. If you dispute a charge with your bank or card issuer instead of contacting us first, we may suspend your account while the dispute is investigated. Chargebacks initiated in bad faith may result in account termination.

7.7 Taxes on purchases. Buyers are responsible for any sales tax, VAT, or other transaction taxes applied to their purchase, collected by PrtyPix on behalf of the relevant taxing authority where required by law.

7.8 Price changes. PrtyPix may change subscription prices, platform fees, or other charges at any time. We will give you at least 30 days' notice of any price change that affects you. Continued use after the change takes effect constitutes acceptance.


8. Print Fulfillment (Prodigi)

When you order a physical print, you authorize PrtyPix to share your order information (name, address, items) with Prodigi for fulfillment. Prodigi is an independent third party. PrtyPix is not responsible for Prodigi's acts or omissions beyond passing your order through, but we will help resolve reasonable issues at admin@prtypix.com. Prodigi's terms and policies apply in addition to these Terms.


9. Prohibited Use

You agree not to:


10. Copyright Infringement (DMCA)

10.1 Reporting. If you believe content on PrtyPix infringes your copyright, send a DMCA notice to admin@prtypix.com that includes: (a) a description of the copyrighted work, (b) a link or identification of the allegedly infringing content on PrtyPix, (c) your contact information, (d) a statement that you have a good faith belief the use is unauthorized, (e) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner, and (f) your physical or electronic signature.

10.2 Counter-notice. If your content was removed and you believe the removal was a mistake, you may submit a counter-notice with the same elements required under 17 U.S.C. § 512(g).

10.3 Repeat infringers. PrtyPix will terminate accounts of repeat infringers in appropriate circumstances.

10.4 Safe harbor. PrtyPix relies on the safe harbor provisions of 17 U.S.C. § 512 and Section 230 of the Communications Decency Act, and processes notices and counter-notices in accordance with applicable law.


11. Moderation and Enforcement

PrtyPix may, at its sole discretion and without prior notice, investigate, remove, restrict, or refuse to display User Content, and may suspend or terminate accounts that violate these Terms or that we reasonably believe to be harmful to the platform, other users, or third parties. We may also notify and cooperate with law enforcement where required by law. We have no obligation to monitor User Content but may do so to protect the platform and its users.


12. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. PrtyPix does not warrant that the platform will be uninterrupted, secure, or error-free, that defects will be corrected, or that the platform or its servers are free of viruses or other harmful components. PrtyPix does not warrant the accuracy, reliability, or completeness of any User Content.

Some jurisdictions do not allow the exclusion of certain warranties; in such jurisdictions, the exclusions above apply to the maximum extent permitted by law.


13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY FLORIDA LAW, IN NO EVENT WILL PRTYPIX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE PLATFORM, EVEN IF PRTYPIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL PRTYPIX'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO PRTYPIX IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

Nothing in these Terms limits any liability that cannot be excluded or limited under applicable law, including liability for fraud, death, or personal injury caused by negligence.


14. Indemnification

You agree to defend, indemnify, and hold harmless PrtyPix and its affiliates, officers, directors, employees, agents, and service providers from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from (a) your User Content, (b) your use of the platform, (c) your violation of these Terms, (d) your violation of any third-party right (including copyright, privacy, or publicity), or (e) any claim that your User Content caused damage to a third party.


15. Dispute Resolution

15.1 Governing law. These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles.

15.2 Informal resolution. Before filing any formal action, you agree to contact us at admin@prtypix.com and attempt to resolve the dispute informally for at least 30 days. We will do the same. If the dispute is not resolved within 30 days, either party may file a formal action.

15.3 Venue and jurisdiction. Any formal action must be filed exclusively in the state or federal courts located in Hillsborough County, Florida, and you consent to personal jurisdiction in those courts.

15.4 Class action waiver. To the maximum extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found unenforceable as to all or part of a dispute, that dispute will proceed in court.

15.5 Equitable relief. Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent or remedy a breach of intellectual property rights or confidential information.


16. Termination

16.1 By you. You may close your account at any time from your account settings or by emailing admin@prtypix.com. Closing your account does not relieve you of payment obligations for charges already incurred.

16.2 By us. We may suspend or terminate your account, with or without notice, for any reason or no reason, including if we reasonably believe you have violated these Terms, if your account is inactive for an extended period, or if we discontinue the platform.

16.3 Effect of termination. Upon termination, your right to use the platform ends. Sections that by their nature should survive termination will survive, including ownership, license grants, disclaimers, indemnification, limitations of liability, and dispute resolution. If you are a Pro with pending payouts at termination, we will pay out earnings earned before termination in accordance with our normal payout schedule, less any amounts owed to us.


17. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will notify you by email (to the address on your account) and by posting a notice in the platform at least 30 days before the change takes effect. The updated Terms will have a new "Effective date" at the top. Your continued use of the platform after the effective date constitutes acceptance of the updated Terms. If you do not agree, stop using the platform and close your account.


18. Electronic Communications

You consent to receive notices, agreements, and other communications from us electronically (by email or through the platform) and agree that electronic communications satisfy any legal requirement that such communications be in writing. You may withdraw this consent at any time by contacting admin@prtypix.com, but withdrawal may affect your ability to use the platform.


19. Miscellaneous

19.1 Force majeure. PrtyPix is not liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, war, terrorism, riots, embargoes, pandemic, government actions, internet or telecommunications failures, or attacks by malicious third parties.

19.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

19.3 No waiver. PrtyPix's failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

19.4 Assignment. You may not assign these Terms without PrtyPix's prior written consent. PrtyPix may assign these Terms to any affiliate, successor, or purchaser of the platform or the relevant business.

19.5 Entire agreement. These Terms (together with the Privacy Policy and any other policies referenced in them) are the entire agreement between you and PrtyPix regarding the platform and supersede any prior or contemporaneous agreements on the subject matter.

19.6 No third-party beneficiaries. These Terms do not create any third-party beneficiary rights, except that Prodigi (and other service providers) may enforce provisions that relate to them.

19.7 Headings. Section headings are for convenience only and have no legal effect.
